SAASPASS Inc. Master Terms & Conditions of Use

Welcome and thank you for your interest in SAASPASS. SAASPASS offers many free and some paid authentication products, software, support, services, the terms of which are outlined below in this Master Terms of Service, along with Additional Terms which may be updated from time to time (collectively, the “Terms”). These collective Terms govern use of the SAASPASS websites, services, plugins and applications (collectively "Services").

Any user, alias, entity or group (collectively, “the User”) using SAASPASS Services or downloading the SAASPASS app, is agreeing to be bound by these Terms. No other contract or terms of service may be created in any other manner, including, but not limited to purchase orders, emails or written communications. SAASPASS reserves the right to update and change these Terms at any time without notice. Any new services, features or products shall be subject to this agreement. By continuing to use the Services, you are agreeing to such changes. If you do not agree, you are not authorized to use these Services. We encourage you to review this document and familiarize yourself with the Terms of SAASPASS use.

USER RESPONSIBILITY & CONDUCT

You agree that your use of the SAASPASS Services will not (a) be false, inaccurate, misleading, slanderous, defamatory, obscene, abusive or hateful; (b) impersonate any person or falsely misrepresent your credentials, affiliation or origin; (c) degrade others on the basis of gender, race, class, ethnicity, national origin, religion, sexual preference, orientation or identity, disability or other classification; (d) infringe on any third party copyright, patent, trademark, trade secret or other property rights or rights of publicity or privacy; (e) violate any law, statute, ordinance, contract, regulation or generally accepted practice in all relevant jurisdictions; (f) be defamatory, trade libelous, threatening or harassing; (g) engage in unauthorized spidering, scraping or harvesting of SAASPASS or other User content or information; (h) facilitate any viruses or other computer programming routines that may damage, interfere with, surreptitiously intercept or expropriate any system or data; (i) take any action that imposes an unreasonably large load on the SAASPSS network or infrastructure; or (j) circumvent, reverse engineer, decompile, disassemble, decrypt or otherwise alter or interfere with any SAASPASS Service software. At the discretion of SAASPASS, User Responsibility & Conduct violations may result in civil or criminal liability for the User.

ACCOUNT INFORMATION & ACCOUNT PRIVACY

You the User choose what information you wish to submit via your SAASPASS Account Information (the "Account Information"). Account Information is stored in encrypted form. SAASPASS has no control over your Account Information and assumes no responsibility whatsoever connecting to or arising from Account Information.

SAASPASS authenticates and relays Account Information as is, without endorsing or attempting to monitor or vouch for the reliability of such.

When you submit Account Information, you hereby grant SAASPASS a non-exclusive, royalty-free, worldwide license to store and distribute Account Information to SAASPASS-enabled websites and applications for the purpose of SAASPASS Services and also for our own corporate purposes. SAASPASS Services may evolve over time and continued use signifies continued acceptance of these Terms.

You are responsible for your own Account Information and the consequences of storing or transmitting that Account Information. You the User understand and acknowledge that the security of your SAASPASS account relies on your protection of your SAASPASS apps, PINs, unlock Patterns, fingerprints, biometrics and devices. You are solely responsible for maintaining the security of these items and for the activities that occur under your SAASPASS account due to their compromise.

By agreeing to use SAASPASS, you grant SAASPASS the non-exclusive right and license to use your company logo for marketing or promotional purposes, even when you have signed up only with your company name or from company premises, without submitting a company logo. By granting this right you agree that SAASPASS and its affiliates have a license to use this material or content for the sole purpose aforementioned.

SAASPASS INTELLECTUAL PROPERTY

All software, materials, information and content contained or made available to the User in connection with use of SAASPASS Services (collectively, the "Content") is protected by copyright, patent, trademark and other intellectual property rights. Any unauthorized use of any SAASPASS Services or Content violates these Terms.

Except as otherwise indicated, you may view, download and use the Content solely for your permitted and legal personal or business purposes in connection with your use of the SAASPASS Services. Competitors, other entities and aliases of the same, current employees of competitors in a personal capacity downloading SAASPASS in an attempt to investigate, leverage, tarnish, include in a third party legal proceeding, reproduce portions of, or copy SAASPASS Content in any way is forbidden and will be prosecuted to the fullest extent of the law. By downloading SAASPASS and/or using any SAASPASS products you are forfeiting any claims on SAASPASS. Violators will be liable for all economic damages and penalties.

SAASPASS Content is only available from saaspass.com or from an app store with which SAASPASS has submitted Content. Content may not otherwise be copied, modified, framed, reproduced, republished, uploaded, posted, transmitted, or distributed in any way

Users, enterprises, companies, governments, municipalities, institutions and developers may not, (a) modify, assign, auction, lease, license or sublicense the Content; (b) create any derivative works based upon SAASPASS Content; (c) reverse compile, decompile, reverse engineer or attempt to ascertain the source code of any software Content; (d) attempt to circumvent or disable or destroy or cripple any technology, features or measures; (e) remove any copyright or other proprietary notices; or (f) commercialize or attempt to commercialize the Content.

The use of any data mining, robots or similar extraction or data gathering methods in connection with this Content is prohibited. Any rights or restrictions not expressly granted are hereby reserved by SAASPASS. Violators will be liable for all economic damages and penalties.

LICENSE GRANT

SAASPASS offers a version of SAASPASS Services: (a) for free, or (b) for a fee. All Services are subject to the Terms outlined in this agreement. SAASPASS grants you a personal, non-exclusive, non-transferable, revocable and non-sublicensable license to use SAASPASS Services.

All SAASPASS Services are not sold, but licensed to you the independent user, alias, entity or group (as defined above, collectively, "the User").

VIOLATIONS & TERMINATION

Users in violation of the Terms can expect to be prosecuted to the fullest extent of the law for all economic damages stemming from any violation of these Terms. You the User agree that SAASPASS may terminate or suspend access to SAASPASS Services without prior notice and without any liability. Such termination or suspension may be based on a good faith belief that a User has violated these Terms and this decision is wholly at the discretion of SAASPASS. SAASPASS reserves the right to terminate free or paid SAASPASS Services at any time without notice and without any liability of any kind.

DISCLAIMER - NO WARRANTIES

SAASPASS is an authenticator, your identity is made available for third parties and SAASPASS is unable to assure you of the structure or security of your third party service provider. SAASPASS recommends that you verify the authenticity of applications and service providers and relay identity information only to entities with which you are comfortable.

The SAASPASS Services, applications and sites are provided "as is," without warranty of any kind. To the maximum extent permitted by California law SAASPASS and its partners disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights.

SAASPASS and its partners do not warrant that the functions contained in the SAASPASS Services will be uninterrupted or error-free, that defects will be corrected, that the SAASPASS Services or the server that makes them available are free of harmful components or that the SAASPASS Services will meet your requirements. You are solely responsible for any damage to your equipment or devices, loss of use, or loss of data.

LIMITATION OF SAASPASS INC. LIABILITY

To the extent permitted by California law, in no event shall SAASPASS, its affiliates, subsidiaries, agents, officers, directors, employees, partners or suppliers be liable to you or any third party for any indirect, incidental, special, punitive, reliance, exemplary or consequential damages of any kind, including without limitation damages resulting from loss of use, profits or data, delays or business interruptions. The foregoing limitations shall apply even if SAASPASS has purportedly been advised of the possibility of such damages and even if the limited remedy specified herein is found to have failed of its essential purpose.

In no event shall SAASPASS' (or its affiliates', subsidiaries', agents', officers', directors', employees', partners' or suppliers') total liability for all damages, losses, and causes of action arising out of or related to this agreement exceed the amounts paid by the User for the SAASPASS Services during the twelve months immediately preceding the date of any claim.

LOCATION, GOVERNING LAW, ARBITRATION AND TIME PERIOD LIMITATION FOR BRINGING CLAIM

These Terms are governed by, and must be constructed in accordance with, the laws of the United States and the State of California, as applicable without giving effect to their principles of conflicts of law. By using the Services, you waive any claims that may arise under the laws of other states, countries, territories or jurisdictions.

With respect to any and all disputes arising out of or in connection with the Services or Terms, SAASPASS and you agree to negotiate in good faith and undertake reasonable effort to cooperate with one another to achieve a resolution that is mutually satisfactory.

If you the User and SAASPASS do not resolve any dispute by informal negotiation, any other effort to resolve the dispute will be conducted exclusively by binding arbitration as described in this section. You are giving up the right to litigate (or participate in as a party or class member) all disputes in court before a judge or jury. Instead, all disputes will be resolved before a neutral arbitrator, whose decision will be final except for a limited right of appeal under the Federal Arbitration Act. Any court with jurisdiction over the parties may enforce the arbitrator's award.

Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor SAASPASS will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity. No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.

SAASPASS and you agree that all disputes arising under these Terms that cannot be settled through informal negotiation will be settled exclusively through confidential binding arbitration in accordance with the commercial rules of arbitration of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in a court of competent jurisdiction. You agree that SAASPASS may seek any interim or preliminary relief from a court of competent jurisdiction as necessary to protect its rights or property pending the completion of arbitration.

To the extent permitted by law, any claim or dispute under these Terms must be filed within one year in an arbitration proceeding. The one-year period begins when the claim or notice of dispute first could be filed. If a claim or dispute is not filed within one year, it is permanently barred.

API TERMS

a. SAASPASS will not be liable for any direct, indirect, incidental damages, included but not limited to loss of profits, goodwill or intangible losses that result from your use of the SAASPASS API. b. Any abuse or excessive use of the SAASPASS API may result in temporary or permanent suspension of access to Services. c. In the event that any of your API keys are compromised, SAASPASS will temporarily disable your account. SAASPASS will make reasonable attempts to warn you prior to suspension. d. SAASPASS reserves the right to discontinue, temporarily or permanently, access to the SAASPASS API with or without notice for any reason. e. By using SAASPASS Services you agree to identify yourself as who you are.

PAID SAASPASS SERVICES

In the event that you choose to subscribe to ("Paid SAASPASS Services"), you will be billed for the subscription either through your credit card, debit card, Paypal, Alipay, electronic payment account ("Payment Account") or through a third party payment processor or provider. The fees for your Paid SAASPASS Services will be automatically billed either on a daily, monthly or annual basis, depending on the method agreed upon, from the date you commit, or convert to, Paid SAASPASS Services and on each monthly or annual renewal thereafter unless and until you cancel your account. We reserve the right to charge on a per transaction basis or on an in app purchase basis for some or all services. We reserve the right for third party partner to invoice you directly and reserve the right to terminate such an arrangement.
